Welcome to DTCetc. These Terms of Service ("Terms") govern your access to and use of www.dtcetc.com (the "Site") and any related services we provide (collectively, the "Service"). By using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who we are

DTCetc is an independent editorial directory of direct-to-consumer brands, operated from Miami, Florida, USA. You can reach us at hello@dtcetc.com.

2. Eligibility

You must be at least 13 years old (16 in the EEA / UK) to use the Service. By using the Service you represent that you meet that age requirement and that you have the legal capacity to enter into these Terms.

3. Accounts

• You are responsible for the accuracy of the information you provide and for keeping your account credentials secure.
• One person may hold one account; you may not impersonate another person, brand, or entity.
• You are responsible for all activity that occurs under your account, including activity by anyone you give access to it.
• Notify us immediately at hello@dtcetc.com if you suspect unauthorized access.
• You can delete your account at any time from your profile page.

4. User-generated content

The Service lets you submit brands, post reviews, save favorites, and otherwise contribute content (collectively, "Your Content"). You retain ownership of Your Content. You grant DTCetc a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, adapt, publish, translate, distribute, and display Your Content for the purpose of operating, improving, and promoting the Service.

You represent and warrant that:

• You own or have the necessary rights to Your Content and to grant the license above.
• Your Content is accurate to the best of your knowledge and not misleading.
• Your Content does not infringe any third party's intellectual-property, privacy, publicity, or other rights.
• Your Content does not contain unlawful, defamatory, harassing, hateful, sexually explicit, or otherwise objectionable material.

You may not use the Service to: (a) submit spam, repetitive, or low-quality content; (b) scrape, crawl, or extract data in bulk except as permitted by robots.txt; (c) reverse-engineer, decompile, or circumvent any technical measure protecting the Service; (d) impersonate any person or misrepresent your affiliation with a brand; (e) interfere with or disrupt the Service or its underlying infrastructure.

5. Brand submissions and editorial discretion

Anyone can submit a brand for review. We review every submission and may, at our sole discretion, accept, edit, request more information from, or reject a submission. Acceptance does not imply endorsement, sponsorship, or partnership. Rejected submissions are automatically deleted from our records seven (7) days after rejection.

6. Affiliate disclosure

Some outbound links on the Site are affiliate links: if you click them and make a purchase, DTCetc may receive a commission from the seller at no additional cost to you. Affiliate relationships do not influence our editorial reviews, scores, or rankings. We disclose this relationship in compliance with the FTC Endorsement Guides (16 CFR Part 255).

7. Intellectual property

The Site, the DTCetc name, logo, design, editorial content, brand scores, listicles, and software are owned by DTCetc and protected by intellectual- property laws. Brand names, logos, and product images displayed on the Site are the property of their respective owners and are used for editorial, identification, and informational purposes under fair use. Nothing in these Terms grants you any rights to those third-party marks.

We respect intellectual-property rights. If you believe content on the Site infringes your copyright, send a DMCA notice to hello@dtcetc.com with: (a) your physical or electronic signature, (b) identification of the copyrighted work, (c) the URL of the allegedly infringing material, (d) your contact information, (e) a statement of good-faith belief that the use is not authorized, and (f) a statement under penalty of perjury that the information is accurate and you are the rights holder or authorized to act on their behalf.

8. Third-party brands and outbound links

DTCetc lists, describes, and links to third-party brands and products. We do not manufacture, sell, ship, return, or service those products. We do not guarantee the accuracy, availability, quality, or pricing of any third-party brand or product. Any transaction you make with a third-party brand is strictly between you and that brand, and is governed by their own terms and privacy policy. We are not responsible for any loss or damage arising from those transactions.

9. "As is" — no warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. Brand information, scores, and editorial content are provided for informational purposes only and should not be relied on as the sole basis for purchase decisions.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DTCETC AND ITS OFFICERS, EMPLOYEES, AGENTS, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF DTCETC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL DTCETC'S TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

11. Indemnification

You agree to defend, indemnify, and hold harmless DTCetc and its affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from (a) Your Content, (b) your use of or activity on the Service, (c) your violation of these Terms or any applicable law, or (d) your violation of any third-party right.

12. Termination

We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including violations of these Terms or suspected fraud, abuse, or security risks. You may stop using the Service and delete your account at any time. Sections 4 ("Your Content" license), 7–11, and 13–15 survive termination.

13. Governing law and venue

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Service is the state and federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts.

14. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Material changes will be announced on the Site or by email. Continued use of the Service after a change constitutes your acceptance of the updated Terms.

15. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and DTCetc concerning the Service. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them freely. Notices to you may be sent to your account email; notices to us must be sent to hello@dtcetc.com.
